Memry Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of Memry's websites, products, and services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and acknowledge Memry's Privacy Policy.
If you do not agree, do not use the Service.
1. Who We Are
"Memry," "we," "us," or "our" refers to Gora Labs LLC, located at 1710 W Hillcrest Dr. Newbury Park, CA, USA.
2. Definitions
"Account": A registered account for a Host (and any authorized team members).
"Host": The person or entity that creates and manages an Event Workspace.
"Guest": A person invited by a Host to upload or access content for an event (may or may not have an account).
"Event Workspace": A Memry workspace created to collect, manage, and share event media.
"User Content": Any photos, videos, text, metadata, comments, or other materials uploaded or submitted to the Service.
"Package": A one-time event package (e.g., Free, Vault, Archive) with defined upload rules and retention lifecycle as described in the Service.
"Upload Phase / Gallery / ZIP-only Grace Window / Retention": The event lifecycle stages described in the Service and/or your dashboard.
3. Eligibility
You must be at least 18 years old to create an Account, purchase Packages, or use the Service in any capacity.
If you use the Service on behalf of an organization, you represent you have authority to bind that organization, and "you" includes the organization.
4. Account Registration & Security
You agree to:
- Provide accurate and complete information when creating an Account.
- Keep credentials confidential and secure.
- Promptly notify us of unauthorized access or a security incident involving your Account.
You are responsible for all activity that occurs under your Account, including actions taken by anyone you authorize.
5. The Service (What Memry Does)
Memry provides a workflow for event media collection, moderation/curation, and sharing through browser-based links/QR codes and event workspaces.
We may update or change the Service (including features, UI, or limits) over time. If changes materially reduce functionality you've paid for, we will provide notice where required by law.
6. Hosts, Guests, and Event Responsibilities
6.1 Host responsibilities
Hosts control event settings and permissions (e.g., access mode, upload rules, gallery visibility, export options). Hosts are responsible for:
- Ensuring they have the right to collect and share Guest uploads.
- Communicating event rules to Guests (what to upload, what's prohibited, who can access, timelines).
- Obtaining any necessary consents (including for people appearing in media).
6.2 Guest responsibilities
Guests agree to follow these Terms when uploading or accessing content via a Host link/QR code. Guests should only upload content they own or are authorized to share.
6.3 Access modes and visibility
Depending on the Host's configuration and Package, content may be visible to the Host only, to other guests, or to invited viewers. Memry is not responsible for Host configuration choices or sharing decisions.
7. Packages, Billing, Taxes, and Payment Processing
7.1 One-time event Packages
Memry Packages are one-time per event, not recurring subscriptions, unless explicitly stated otherwise in-product.
Each Package sets:
- Upload limits and/or video limitations (if applicable),
- Access modes available,
- Gallery duration after upload phase,
- ZIP-only grace window,
- Export options and filters,
- Retention/deletion timing.
Package terms shown on your pricing page and/or in the dashboard are incorporated into these Terms by reference.
7.2 Payments and third-party processors
Payments may be processed by third-party payment processors (e.g., Stripe). Your payments may also be subject to the processor's terms.

All purchases are non-refundable and we do not provide prorated refunds once a Package is activated for an event, except where required by law.
7.5 Chargebacks and payment disputes
If you initiate a chargeback or payment dispute, we may suspend access to affected Event Workspace(s) pending resolution and may recover any associated fees we incur, to the extent permitted by law.
8. User Content, Ownership, and Licenses
8.1 Ownership
You (or your licensors) retain ownership of your User Content.
8.2 License to Memry (required to operate the Service)
You grant Memry a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display (as configured by the Host), and distribute your User Content solely to operate, secure, support, and provide the Service (including creating derivatives as necessary for encoding, compression, thumbnails, and exports).
If you believe content on Memry infringes your copyright, send a notice to DMCA@goralabs.dev with:
- Identification of the copyrighted work,
- Identification/location of the allegedly infringing material,
- Your contact information,
- A statement of good faith belief,
- A statement under penalty of perjury that the notice is accurate, and
- Your physical or electronic signature.
We may remove allegedly infringing content and may terminate repeat infringers as appropriate.
11. Privacy and Data Protection
Our processing of personal data is described in our Privacy Policy.
You acknowledge:
- Hosts may configure who can access an Event Workspace.
- Guests should not upload sensitive information unless they understand who may access it.
- If you are a Host collecting personal data from Guests, you are responsible for providing appropriate notices and obtaining necessary consents.
12. Storage, Retention, and Deletion
12.1 Lifecycle-based retention
Event media is retained according to the Package lifecycle (upload phase, gallery duration, ZIP-only grace window, and retention end). Auto-delete is expected at the end of the lifecycle, and deleted content may not be recoverable.
12.2 Backups and residual copies
This license continues until your User Content is deleted from the Service, subject to backup retention, legal compliance, dispute holds, and technical processing timelines.
8.3 Host access to Guest uploads
Upon termination, your right to access the Service ends. Content will be handled according to the retention lifecycle and applicable law.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
MEMRY DOES NOT GUARANTEE THAT UPLOADS WILL ALWAYS SUCCEED, CONTENT WILL NEVER BE LOST, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMRY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
If you upload content to an Event Workspace as a Guest, you acknowledge the Host (and anyone the Host authorizes) may view, download, export, and share that content as part of event deliverables.
8.4 Feedback
Some jurisdictions do not allow certain limitations, so these limits may not fully apply to you.
18. Indemnification
You agree to indemnify and hold Memry harmless from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your violation of these Terms, your violation of any law or third-party rights, and Host configuration choices and sharing decisions.
19. Dispute Resolution
These Terms are governed by the laws of California, USA, excluding conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in California, USA, and you consent to personal jurisdiction there.
You are responsible for complying with all laws applicable to your use of the Service in your jurisdiction.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by posting on the site or within the Service). Continued use after the effective date means you accept the updated Terms.
21. Force Majeure
Memry is not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or infrastructure failures, power outages, or similar events.
22. Miscellaneous
You (or your licensors) retain ownership of your User Content.

No Waiver: Failure to enforce a provision is not a waiver.
All purchases are non-refundable and we do not provide prorated refunds once a Package is activated for an event, except where required by law.
7.5 Chargebacks and payment disputes
Entire Agreement: These Terms and the Privacy Policy are the entire agreement about the Service.
English language controls: these Terms are provided in English and that version controls.
